When is a company considered dormant?

A dormant company is one that does not carry on business and has no income for the whole of the financial period under review. Even if the company has incurred such costs as bank charges, secretarial fees, and other expenses in maintaining the office.

When do you file your annual returns?

If your company's financial year ends on 31 December 2010, the AGM must be held by 30 June 2011; and the annual returns must be filed on or before 29th July 2011 even if your company is considered dormant. 

Does a dormant company need to submit Form C?

A dormant company must submit Form C unless it has been granted waiver for submission of Form C by the IRAS. (You can download a copy of the applicantion form from IRAS website)

How to file? (Lodgement of annual return)

You should be able to use your Singpass to log into ACRA's website and do the annual filing on your own. It normally will take less than 15 minutes to answer all the questions listed there. ( You need a director/company's secretary's singpass, company registration No and a valid credit card to to the online transaction). Do remember to print a copy of receipt for reference after payment by credit card.

In case you are unable to file on your own, I will be able to guide you filing the annual return. The half an hour teaching session will be $80.(Normally at food court near MRT station!!)
